1. Acceptance of Terms

These Terms & Conditions ("Terms") govern the access and use of the Agora Dentist platform ("Platform"), operated by Inspicio SRL, a Romanian legal entity, registered office at 10 Lopatarului St., Tulcea, 820096, Romania, registered with the Trade Registry under no. J2019000476362, VAT ID 41306440.

Please read these Terms carefully before using the Platform. If you do not agree with any term, please do not use the Platform.

2. Description of Services

The Platform allows users to: (a) create and manage patient or clinic accounts; (b) schedule and manage dental appointments; (c) store and access digital medical records; (d) communicate with partner clinics; (e) track payment status and integrate invoicing applications.

We reserve the right to modify, suspend, or discontinue any aspect of the Platform, with prior notice where reasonably possible.

3. Registration and Account

When registering, you must provide accurate, complete, and up-to-date information. You will receive a password that you must keep confidential. All activity under your account is your responsibility.

For minors, the account may only be created by a parent or legal guardian, who assumes responsibility for the Platform use.

4. Payments and Financial Processing

All payments for dental services are processed directly by the clinic using its own payment processor or third-party application. The Agora Dentist Platform does not process, store, or transfer funds between patients and clinics.

The Platform provides clinics with payment tracking and record-keeping tools, allowing the recording of payment status (paid, partially paid, unpaid) associated with each appointment or service. These features are informational and for internal management purposes.

Upon the clinic's express request, Agora Dentist can integrate via secure APIs with the clinic's invoicing or accounting applications for automatic financial data synchronization. Integration is optional and configured individually for each partner clinic.

For clinic subscriptions to the Platform, payments may be processed through NETOPIA Payments Romania S.A., a payment processor authorized by the National Bank of Romania and compliant with PCI DSS.

• Credit and debit cards (Visa, Mastercard, Maestro).
• Recurring payments for subscriptions (with prior clinic consent).

5. Intellectual Property Rights

Platform content, including but not limited to text, graphics, images, logos, software, and databases, is the property of Inspicio SRL or its licensors and is protected by Romanian Law No. 8/1996 on copyright and related rights.

You may not reproduce, distribute, modify, publicly display, or create derivative works from Platform content without prior written consent from Inspicio SRL.

6. User Obligations

As a Platform user, you agree to:

• Provide true, accurate, and up-to-date information in your account.
• Not use the Platform for illegal, fraudulent, or unauthorized activities.
• Not attempt to access other users' accounts or secured Platform areas without authorization.
• Not introduce malware, viruses, or any other harmful computer code.
• Not send spam, unsolicited messages, or offensive content through the Platform.
• Comply with all applicable laws and regulations, including GDPR and Romanian legislation.

7. Liability and Limitations

Inspicio SRL makes reasonable efforts to keep the Platform functional and secure but does not guarantee it will be uninterrupted, error-free, or free of security vulnerabilities.

To the maximum extent permitted by law, Inspicio SRL shall not be liable for direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the Platform.

If Inspicio SRL's liability is established, it is limited to the subscription fee paid by the user in the last 12 months.

8. Privacy and Data Protection

The processing of personal data is carried out in accordance with the Privacy Policy available on the Platform, which is an integral part of these Terms.

By using the Platform, you consent to the collection and processing of data in accordance with the Privacy Policy.

9. Changes to Terms

Inspicio SRL may modify these Terms at any time. Significant changes will be communicated to users via email or through a Platform notice at least 30 days before the effective date.

Continued use of the Platform after the effective date of the modifications constitutes acceptance of the changes.
